Ongoing SEO Management Agreement

Ongoing SEO Services Agreement

This Ongoing SEO Services Agreement (“Agreement”) is entered into by and between Local Business Websites LLC (“Provider”), a company registered in the State of Delaware, and the undersigned client (“Client”).

This Agreement applies only when the Client has purchased an SEO service separate from website construction, design, or hosting.

1. Scope of SEO Services

The Provider agrees to provide basic ongoing SEO support intended to maintain general search visibility and technical stability.

Services may include, when deemed necessary by the Provider:

Minor on-page adjustments
Basic keyword updates
Local listing and citation corrections
Submission of updated sitemaps to search engines
General indexing and visibility checks

SEO services are performed on an as-needed basis and are not continuous daily work.

2. SEO Setup Fee and Initial Configuration

This service includes a one-time SEO setup fee.

The SEO setup fee covers:

Initial SEO configuration
Local listings review
Citation cleanup and submission
Third-party SEO platform onboarding

The SEO setup fee includes citation-related costs only up to the amount stated in the service description at the time of purchase.

If citation costs exceed the amount included in the setup fee, the Client must approve additional citation purchases before they are incurred.

The Provider is not responsible for absorbing or subsidizing citation costs beyond the included amount.

The SEO setup fee is non-refundable once work has commenced.

3. Monthly SEO Fee and Third-Party Tools

This service includes a recurring monthly SEO fee.

The monthly SEO fee covers:

Ongoing SEO management services
The cost of required third-party SEO tools
The Provider’s time, monitoring, and administrative services

The Provider utilizes the BrightLocal Growth plan as part of this service. The Client is not required to create or manage a BrightLocal account.

BrightLocal pricing and features are controlled by the third-party provider and may change at any time. Tool availability is not guaranteed.

4. Client Content and Cooperation

The Client agrees to supply accurate business information and updates as needed.

The Client agrees to provide up to two (2) articles per week for posting when requested. If articles are not provided, the Provider may create simple replacement content to maintain site activity.

Replacement content is basic, non-promotional, and carries no performance guarantees.

5. Exclusions and No Guarantees

This service does not include advertising, backlink campaigns, influencer outreach, or marketing services.

The Provider makes no guarantees regarding rankings, traffic, leads, conversions, or revenue. Search engine algorithms, competition, and third-party platforms are outside the Provider’s control.

6. Billing and Cancellation

SEO services are billed month-to-month unless otherwise stated.

The Client is solely responsible for initiating cancellation through the Provider’s billing portal or official support system.

Cancellation takes effect at the end of the current billing cycle.

No refunds are issued for setup fees, prior billing periods, or partial months.

7. Chargebacks and Disputes

The Client agrees to contact the Provider and attempt resolution through the official support system before initiating any chargeback.

Any chargeback initiated in place of proper cancellation or dispute resolution constitutes a material breach of this Agreement.

In the event of a chargeback, the Client agrees to reimburse the Provider for:

All bank, processor, or merchant account fees
Administrative and investigation costs
A $2,000 USD chargeback handling fee, representing a reasonable estimate of damages and operational disruption

The Provider may suspend or terminate services immediately and pursue all legal remedies.

8. Limitation of Liability

The Provider is not liable for ranking changes, traffic loss, penalties, or algorithm updates.

Total liability under this Agreement is limited to the amount paid by the Client during the most recent billing period.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware.

10. Acceptance

By signing, submitting payment, or electronically accepting this Agreement, the Client agrees that this Agreement is binding and enforceable.
