- Any additional information reasonably requested by the Provider
The Client represents that all supplied information is accurate, lawful, and authorized for use.
The Provider may organize, format, and make reasonable editorial adjustments to Client-provided information for website presentation.
The Provider is not obligated to independently research the Client's business, create original business information, obtain professional photographs, or verify the accuracy of supplied materials.
Failure to provide requested information, images, content, or necessary context may delay website development or result in incomplete website sections.
Such delays do not automatically suspend or eliminate the Client's payment obligations.
The Provider is not responsible for delays or inaccuracies resulting from incomplete, incorrect, or outdated Client information.
4. WEBSITE DEVELOPMENT AND COMPLETION
Website development begins after the initial monthly payment has been successfully processed and the Client has provided sufficient information to begin construction.
The Provider does not guarantee a specific website completion or launch date unless expressly agreed upon in writing.
Development timelines may vary based on website complexity, workload, technical requirements, and Client cooperation.
The Client agrees to review the website and provide requested feedback within a reasonable period.
Reasonable corrections within the original agreed scope may be performed at the Provider's discretion.
Additional revisions, redesign requests, new functionality, or substantial changes to the original scope may require additional fees.
The Provider is not responsible for delays caused by incomplete Client information, unavailable third-party services, or circumstances beyond its reasonable control.
If the Client fails to provide necessary materials or respond to reasonable requests, the Provider may place development on hold until the Client resumes cooperation.
The Client's recurring billing obligations continue during such delays unless otherwise required by applicable law or agreed upon in writing.
5. ACCESS CREDENTIALS AND CLIENT COOPERATION
The Client agrees to provide any access credentials, permissions, domain information, or other technical materials reasonably necessary to perform the contracted services.
The Client is responsible for maintaining access to third-party accounts under the Client's ownership.
Failure to provide required access may delay or prevent completion of services.
The Provider shall not be responsible for delays caused by lack of Client cooperation.
6. HOSTING, MAINTENANCE, BACKUPS, AND THIRD-PARTY SERVICES
Website hosting is included in the $50 monthly service fee while the Client's account remains active and in good standing.
Included maintenance is limited to routine technical maintenance necessary for website operation, security, and platform stability.
The monthly service does not include unlimited content updates, redesigns, marketing services, ongoing SEO campaigns, or major functionality changes.
The Provider does not guarantee uninterrupted website availability or the availability and integrity of backups.
The Client is responsible for maintaining independent copies of important website content and business materials.
The Provider is not responsible for failures, interruptions, licensing changes, or additional charges imposed by third-party platforms, software, plugins, themes, domain registrars, or service providers.
Unless expressly included in writing, third-party fees and subscriptions remain the responsibility of the Client.
Domain registration, renewal, transfer, and ownership are separate from the website service unless expressly included in writing.
Ownership of a domain registered to the Client remains with the Client. Cancellation of website services does not automatically cancel third-party domain registration obligations.
7. BASIC SEO SETUP — NO ONGOING SEO OR MARKETING
The Provider includes a one-time Basic SEO Setup during initial website development.
This may include:
- Basic page titles and metadata
- Sitemap generation and submission
- Basic search engine indexing configuration

Basic SEO Setup is technical configuration only.
The monthly website service does not include:
- Ongoing SEO management

- Advertising or paid marketing
- Social media management
- Guaranteed website traffic, leads, sales, or search rankings
The Provider makes no guarantees regarding search engine placement, traffic, business inquiries, or revenue.
8. MONTHLY PAYMENTS AND RECURRING BILLING AUTHORIZATION
The Client agrees to pay $50.00 per month for website services under this Agreement.
The promotional website setup fee is $0.00.
The first monthly payment is due upon enrollment and must be successfully processed before website development begins.
Subsequent payments are billed monthly according to the Client's established billing cycle.
By enrolling and providing a payment method, the Client expressly authorizes the Provider and its designated payment processor to charge the selected payment method $50.00 each month until the service is canceled.
The Provider will disclose the recurring billing terms and cancellation procedure during checkout.
Invoices are due within five (5) days of issuance unless payment is automatically collected.
Failure to make timely payments may result in suspension of website hosting, maintenance, and related services, subject to applicable law.
The Provider may require outstanding balances to be paid before restoring suspended services.
The Provider will not increase the agreed monthly rate without providing advance notice and obtaining any consent required by applicable law.
9. ALL PAYMENTS ARE NON-REFUNDABLE
ALL PAYMENTS MADE TO LOCAL BUSINESS WEBSITES LLC UNDER THIS AGREEMENT ARE FINAL AND NON-REFUNDABLE, EXCEPT WHERE OTHERWISE REQUIRED BY APPLICABLE LAW.
This includes:
- Initial monthly payments
- Recurring monthly payments
- Payments made before website completion
- Payments for partially used billing periods
- Payments made before voluntary cancellation
- Payments for services delayed by the Client's failure to provide required information
The Client acknowledges that the monthly service fee supports website development, hosting infrastructure, account administration, and ongoing technical services.
No refunds or prorated credits will be issued for unused portions of a billing period, subject to applicable law.
Nothing in this Agreement eliminates any refund, cancellation, or payment dispute rights that cannot legally be waived.
10. NO MINIMUM CONTRACT TERM
This Agreement operates on a month-to-month basis.
There is no required annual commitment or minimum number of monthly payments.
The Client may cancel services in accordance with Section 11.
Cancellation does not entitle the Client to a refund of previously processed payments, except where required by law.
11. CANCELLATION AND TERMINATION
The Client is responsible for initiating cancellation.
Cancellation requests may be submitted through the Provider's designated billing portal or official support system.
The Provider will make these cancellation methods reasonably accessible and will honor any additional cancellation method required by applicable law.
Cancellation takes effect at the end of the current paid billing period unless an earlier effective date is required by law.
Once a valid cancellation request has been received, the Provider will stop future recurring charges for billing periods beginning after the effective cancellation date.
The Client remains responsible for charges properly incurred before the effective cancellation date.
All payments remain non-refundable, including payments made during the billing period in which cancellation is requested, except where required by law.
Upon termination, the Provider may discontinue website hosting, maintenance, and access to Provider-managed services.
The Provider is not obligated to continue hosting or maintaining the website after cancellation.
The Provider may suspend or terminate services for nonpayment, unlawful content, security threats, misuse of hosting resources, or material violations of this Agreement, subject to applicable law.
Termination does not eliminate outstanding payment obligations or other provisions intended to survive termination.
12. WEBSITE OWNERSHIP AND TRANSFER
Under this promotional arrangement, the Provider waives the initial website construction fee in exchange for the Client's enrollment in the monthly website service.
The $50 monthly payment covers the ongoing website service and does not constitute an installment payment toward a separately priced website purchase.
The Client retains ownership of original content, photographs, logos, trademarks, and other materials supplied by the Client.
The Provider retains ownership of its preexisting proprietary materials and Provider-created website design and development materials, to the extent those materials are owned by the Provider under applicable law.
Third-party themes, plugins, software, and other licensed components remain subject to their respective licenses.
During an active, paid subscription, the Client receives a limited, nonexclusive license to use the Provider-owned website materials as part of the hosted website service.
This license ends when the website service terminates, except where otherwise required by applicable law or a separate written agreement.
Cancellation does not automatically transfer ownership of Provider-owned website design materials, templates, or proprietary components to the Client.
Any website transfer, purchase, or release of Provider-owned materials must be arranged separately in writing.
The Provider is not obligated to transfer its proprietary design or development materials without a separate agreement.
Nothing in this section limits the Client's ownership of its original business content, domain names, or other independently owned materials.
13. POST-CANCELLATION WEBSITE DATA
Following termination of website services, the Provider may retain website files, databases, and related hosting data for up to thirty (30) days.
After thirty (30) days, the Provider may permanently delete such data without further notice, except where retention is required by applicable law.
The thirty-day period is not a guarantee that backups or recoverable copies will remain available.
The Client is responsible for requesting copies of its own content and business materials before cancellation becomes effective.
The Provider is not obligated to provide proprietary website design materials, licensed software, or other Provider-owned components.
The Provider is not responsible for data loss resulting from lawful account termination, expiration of the retention period, or the Client's failure to maintain independent copies, except where prohibited by law.
14. CHARGEBACKS AND PAYMENT DISPUTES
The Client is encouraged to make a good-faith attempt to resolve billing concerns through the Provider's official support system before initiating a payment dispute.
Nothing in this Agreement restricts the Client's lawful right to dispute unauthorized, incorrect, or otherwise improper charges.
The Provider reserves the right to contest chargebacks and provide relevant documentation to the payment processor.
In the event of an improper or unsuccessful chargeback, the Provider may seek recovery of actual, reasonable, documented fees and costs incurred, to the extent permitted by applicable law.
The Provider may suspend services for unresolved payment failures or material violations of this Agreement, subject to applicable law.
15. DOWNTIME AND FORCE MAJEURE
The Provider does not guarantee uninterrupted website availability.
The Provider shall not be responsible for interruptions caused by third-party hosting infrastructure, network failures, cyberattacks, software failures, natural disasters, governmental actions, or events beyond the Provider's reasonable control.
The Provider will make commercially reasonable efforts to restore affected services when practical.
16. CONTENT COMPLIANCE AND INDEMNIFICATION
The Client is responsible for ensuring that its website content, business operations, advertising claims, and services comply with applicable laws and regulations.
The Client represents that it possesses the necessary rights to use all submitted text, images, logos, and other materials.
The Client agrees to indemnify and hold harmless the Provider against third-party claims, damages, and reasonable legal expenses arising from the Client's unlawful content, unauthorized materials, or business operations, to the extent permitted by law.
This obligation does not apply to the extent a claim arises from the Provider's own unlawful conduct or other liability that cannot legally be excluded.
17. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, the Provider shall not be liable for indirect, incidental, special, or consequential damages, including lost revenue, lost profits, lost data, or lost business opportunities.
The Provider's aggregate liability arising from this Agreement shall not exceed the total amount paid by the Client during the most recent billing period, except where such limitation is prohibited by applicable law.
Nothing in this Agreement excludes liability that cannot legally be limited or excluded.
18. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, subject to any mandatory laws that apply to the Client or transaction.
19. SEVERABILITY
If any provision of this Agreement is determined to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law or severed if necessary.
The remaining provisions shall remain in effect.
20. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the Provider and Client concerning the promotional website services described herein.
Any modifications to the service scope, pricing, or ownership arrangements must be agreed upon in writing.
Failure by the Provider to enforce a provision on one occasion does not constitute a permanent waiver of that provision.
