General Service Contract
General Service Contract
This Service Contract (“Contract”) is entered into by and between Local Business Websites ("Provider") and the undersigned client ("Client") for the purpose of providing website setup, hosting, maintenance, and related services.
1. Services Provided
Provider agrees to provide the Client with the following services:
- Website Setup: The Provider will set up the website based on the content provided by the Client.
- Hosting Services: The Provider will host the website and offer limited monthly maintenance (security updates) as part of the hosting service.
The Client agrees to provide all content necessary for the website, including, but not limited to: text, images, documents, product details, and services. The Client is also responsible for any third-party software, themes, plugins, or integrations, and must provide accurate login credentials and API keys for such services as needed.
The Provider does not offer content creation, stock images, custom scripting, or marketing services. The Client is responsible for any third-party services or software licensing fees.
2. Payment Terms
- Setup Fee: A one-time fixed setup fee is due upon signing this contract.
- Monthly Fee: A recurring monthly hosting/maintenance fee is due each month.
All fees are due within 5 days of receiving the invoice. If a payment fails, the payment system will automatically attempt the payment three times. After the third failed attempt, the Client’s account will be suspended until payment is successfully made.
No refunds will be provided for services already rendered, and all sales are final. If the Client cancels the service, the cancellation will take effect at the end of the current billing cycle. No partial refunds will be provided.
3. Chargebacks & Disputes
- The Client agrees to contact the Provider and attempt to resolve any disputes via the HelpDesk system before initiating any chargeback.
- Chargebacks without prior resolution through the HelpDesk will be considered a breach of this contract, and the Client agrees to reimburse the Provider for any fees incurred as a result of the chargeback.
- In the case of an unjustified chargeback, the Client’s services may be suspended or permanently terminated, and additional legal action may be taken to recover the charges.
4. SEO & Marketing
The Provider offers basic SEO setup as part of the initial website setup, which includes:
- Inputting basic keywords and metadata
- Configuring page titles, descriptions, and basic meta tags for improved visibility
The Provider does not offer ongoing SEO management, traffic performance guarantees, or marketing services. The SEO setup is limited to the initial setup and is provided as-is.
5. Content Responsibility
- The Client is solely responsible for supplying all content for the website, including text, images, and any third-party resources.
- Failure to provide complete content will delay the setup or result in an incomplete website. The Provider is not responsible for incomplete or failed setups due to missing or incorrect content.
- The Client is also responsible for maintaining the integrity and security of any third-party integrations.
6. Termination & Cancellations
- The Client may cancel services at any time. However, cancellation will take effect only at the end of the current billing cycle.
- No refunds will be issued for any prior or current period of service. Cancellation requests must be submitted via the HelpDesk system.
- The Client will remain responsible for all payments due until the end of the current billing cycle, regardless of cancellation.
7. Indemnification
The Client agrees to indemnify, defend, and hold harmless Local Business Websites, its employees, and affiliates from any and all claims, losses, damages, liabilities, or expenses arising from or related to the Client's use of the services, including but not limited to:
- Copyright infringement
- Privacy violations
- Misuse of content
8. Limitation of Liability
The Provider’s liability in connection with the services provided is limited to the amount the Client has paid for the services in question. The Provider is not liable for indirect, incidental, or consequential damages, including but not limited to lost data, loss of profits, or any other damages arising from the use of services.
9. Client’s Rights and Responsibilities
- The Client is responsible for backing up all content, including text, images, and files, and for ensuring the security of their website through necessary measures (firewalls, antivirus protection, etc.).
- The Client is also responsible for providing accurate and complete information for any third-party integrations, and for maintaining the licenses or subscriptions for any third-party software or tools used in connection with their website.
10. Agreement to Terms
By signing or accepting the services from Local Business Websites, the Client agrees to the terms and conditions of this contract, which are binding and enforceable. This contract supersedes any prior agreements or communications, written or oral.
